These Terms govern your use of showupandclose.agency (the "Site"), operated by Show Up & Close, LLC, a Wyoming limited liability company. By using the Site or submitting an application, you agree to these Terms.

1. What this Site is

The Site describes Show Up & Close's producer program and lets licensed and prospective insurance producers apply to be considered for it. Show Up & Close is an independent insurance sales agency. We are not an insurance company and we do not underwrite insurance.

2. No offer, no guarantee

Nothing on this Site is an offer of employment, an agency appointment, a contract, or a guarantee of income, production, appointment volume, or results. Submitting an application does not create any relationship between you and Show Up & Close, and does not obligate either of us to anything.

Any statement on this Site about compensation, appointment supply, program structure, or producer obligations is a general description only. The terms that actually govern a producer relationship are contained solely in the written agreement a producer signs. Where this Site and that agreement differ, the signed agreement controls. Read it before you sign it.

3. Licensing is not ours to grant

Selling insurance requires a license issued by a state department of insurance, and an appointment with the applicable carrier. Licensing is administered by the states, not by Show Up & Close. We can describe the process and support you through it. We cannot grant, accelerate, or guarantee a license or a carrier appointment, and nothing on this Site should be read as suggesting otherwise. Licensing timelines, requirements, and costs vary by state and are the producer's responsibility unless expressly agreed otherwise in writing.

4. Appointments are a service, not an investment

Where a producer pays Show Up & Close for appointments, that payment purchases a service: a scheduled appointment with a prospect contacted and qualified by Show Up & Close. Such payments are not an investment, are not a security, and do not convey any equity, ownership, membership interest, profit share, or revenue share in Show Up & Close, LLC or any affiliate. No producer acquires any interest in the agency by purchasing appointments.

There is no fee to be contracted as a producer, on either the 1099 or W-2 path. Purchasing appointments is applicable to the 1099 path. Pricing, the terms of any account balance or replenishment arrangement, how those terms change with production, and any refund rights are governed solely by the written producer agreement, which is provided before any payment is made. Any replenishment or funding support is discretionary, is not automatic, and is not offered to every producer.

No income, production, appointment-volume, conversion, or persistency result is promised or guaranteed, and no statement on this Site should be read as a projection or representation of earnings. Results depend on licensing, effort, skill, market conditions, and carrier decisions outside our control.

5. Team building and overrides

Producers may, at their option, bring other producers into the agency and earn override compensation. Override compensation is earned solely on issued premium and persistency of policies written by those producers. No compensation of any kind is paid for the act of recruiting or enrolling a producer, and no compensation is paid to any producer out of amounts another producer pays Show Up & Close for appointments or any other service.

Building a team is entirely optional. It is not a condition of being contracted, of receiving appointments, or of any producer's compensation level, and no producer is required to recruit.

6. Program availability

Program features, entry paths, appointment supply, and cohort timing vary by state, by line of business, and over time. Availability described on this Site is not a commitment that any particular feature will be available to you.

7. Your application

You agree that the information you submit is accurate and truthful, and that you are at least 18 years old and legally permitted to work in the United States. Material misstatements in an application are grounds for rejection or, if discovered later, termination. We review applications at our discretion and may decline any application for any lawful reason, or for no reason.

8. Contact consent

By submitting an application you agree that we may contact you about it by phone and email. Text messaging requires separate express consent, which you give by checking the consent box, and which you may withdraw at any time. See our SMS Terms. Consent to be contacted by text is not a condition of applying or of any contract.

9. Intellectual property

The Show Up & Close name, logo, and the content of this Site are owned by Show Up & Close, LLC or its licensors. You may not copy, reproduce, or use them without written permission, except that you may share links to the Site.

10. Third-party links

The Site links to systems we operate on third-party platforms, including our producer platform. Those services carry their own terms and privacy practices, which apply when you use them.

11. Disclaimers and limitation of liability

The Site is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or that information on it is complete or current.

To the maximum extent permitted by law, Show Up & Close, LLC and its members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits or lost business opportunity, arising out of your use of the Site — even if advised of the possibility. Our total aggregate liability arising out of the Site will not exceed one hundred U.S. dollars ($100). Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Indemnity

You agree to indemnify and hold harmless Show Up & Close, LLC from claims arising out of your misuse of the Site or your breach of these Terms.

13. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising out of the Site will be brought exclusively in the state or federal courts located in Hillsborough County, Florida, and you consent to personal jurisdiction there. This Section governs use of the Site only; dispute resolution for a producer relationship is governed by the signed producer agreement.

14. Changes

We may update these Terms. The date above reflects the most recent version. Continued use of the Site after a change means you accept it.
